## 2. ACCEPTANCE OF TERMS

By accessing the Site, creating an account, placing an order, clicking any acceptance button, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use the Site or place an order.

Your electronic submission of an order constitutes your legally binding offer to purchase products from Cinereplicas.

Promotional codes:

- Are non-transferable;
- Cannot be redeemed after expiration;
- Cannot be applied retroactively;

We reserve the right to cancel or modify promotions at any time.

### 6.5 Loyalty Program

Participation in the Cinereplicas Loyalty Program is governed by Section 15.

## 7. ORDERS AND ORDER ACCEPTANCE

### 7.1 Order Submission

Your order constitutes an offer to purchase.

An order confirmation email only confirms receipt of your order.

It does not constitute acceptance.

### 7.2 Contract Formation

A binding sales contract is formed only when products are shipped.

Until shipment occurs, we reserve the right to cancel, refuse, or modify orders.

### 7.3 Verification

We may request additional information to verify:

- Identity;
- Payment information;
- Billing information;
- Shipping information.

Failure to provide requested information may result in cancellation.

### 7.4 Errors and Inaccuracies

If supply is reduced by licensors or manufacturers, fulfillment may occur based on order priority.

### 8.3 Backorders

Backordered products will ship when inventory becomes available.

Estimated availability dates are non-binding estimates.

## 9. PAYMENT

### 9.1 Payment Authorization

By submitting payment information, you authorize Cinereplicas and its payment processors to charge your payment method for all amounts due.

### 9.2 Security

Transactions are processed using industry-standard security protocols.

Payment card information is processed by authorized third-party payment providers.

### 9.3 Third-Party Fees

Customers remain responsible for fees imposed by:

- Banks;
- Credit card issuers;
- Payment providers;
- Currency conversion providers.

### 9.4 Declined Payments

Orders may be delayed, suspended, or cancelled if payment authorization cannot be obtained.

### 9.5 Retention of Title

Title to products remains with Cinereplicas until full payment is received.

## 10. SHIPPING, DELIVERY, TITLE AND RISK OF LOSS

Shipping methods, rates, and estimated delivery times are displayed during checkout.

Shipping estimates are not guarantees.

### 10.2 Delivery Delays

Delivery dates are estimates only.

Cinereplicas shall not be liable for delays caused by:

- Carriers;
- Customs authorities;
- Weather;
- Labor disruptions;
- Government actions;
- Force majeure events;
- Inventory transfers;
- Other circumstances beyond our reasonable control.

### 10.3 Split Shipments

Orders may be shipped in multiple packages without additional shipping charges.

### 10.4 Risk of Loss

Risk of loss transfers upon delivery to the shipping address reflected in carrier tracking records.

Where signature service is not selected, carrier confirmation of delivery shall constitute proof of delivery.

### 10.5 Lost, Missing or Stolen Packages

Customers must report delivery issues promptly.

We may require:

- Identification;
- Signed declarations;
- Cooperation with carrier investigations.

Failure to cooperate may affect claim eligibility.

### 10.6 Address Errors and Refused Deliveries

Customers are responsible for providing accurate delivery information.

Orders returned because of:

- Incorrect addresses;
- Refused deliveries;
- Failure to claim shipments;
- Failure to pay customs charges;

may be subject to return shipping fees, handling charges, restocking fees, or other reasonable deductions permitted by law.

## 11. CUSTOMS, DUTIES AND INTERNATIONAL ORDERS

For orders shipped outside the United States, customers are solely responsible for:

- Import duties;
- Customs fees;
- VAT, GST, sales taxes, or similar taxes;
- Brokerage fees;
- Clearance fees;
- Other governmental charges.

Such charges are not included in the purchase price unless expressly stated.

If a shipment is refused, abandoned, returned, destroyed, or otherwise not delivered because customs charges were not paid, no refund shall be required except as otherwise required by applicable law.

Customers are responsible for ensuring that products may be legally imported into their destination country.

We make no representation regarding import eligibility in any jurisdiction.

## 12. RETURNS, EXCHANGES AND REFUNDS

### 12.1 Return Authorization Required

Customers must obtain a Return Merchandise Authorization ("RMA") before returning any item.

Requests must be submitted to support@cinereplicas.com within fourteen (14) days following delivery.

Returns sent without an RMA may be refused.

### 12.2 Return Deadline

Approved returns must be shipped within fifteen (15) days after issuance of the RMA.

Returns received after this period may be rejected.

### 12.3 Return Condition Requirements

Returned products must be:

- Unused;
- Unworn;
- In original condition;
- In original packaging;
- Complete with tags, inserts, accessories, certificates, and promotional items.

Products showing signs of use, damage, modification, abuse, or missing components may be refused or may receive only a partial refund where permitted by law.

### 12.4 Defective, Damaged or Incorrect Items

Customers must notify Cinereplicas within fourteen (14) days after delivery if an item is defective, damaged, or incorrect.

We may require:

- Photographs;
- Videos;
- Packaging inspection;
- Product return.

At our sole discretion and subject to applicable law, we may provide:

- Replacement;
- Repair;
- Store credit;
- Refund.

### 12.5 Exchanges

Exchanges are offered solely at Cinereplicas' discretion and subject to inventory availability.

### 12.6 Final Sale Items

The following items may be designated as Final Sale:

- Clearance products;
- Promotional products;
- Limited edition products;
- Special event products;
- Mystery products;
- Customized products;
- Gift cards.

Final Sale items are not eligible for return or exchange except where required by law.

### 12.7 Return Shipping Costs

Unless the return results from our error or a confirmed product defect, customers are responsible for return shipping expenses.

### 12.8 Refund Processing

Refunds are processed after inspection and approval.

Original shipping charges are non-refundable unless required by law.

Refund timing depends upon financial institutions and payment providers and is outside our control.

### 12.9 Exclusive Remedies

To the fullest extent permitted by law, the customer's exclusive remedies relating to any product shall be:

- Repair;
- Replacement;
- Store credit;
- Refund;

as determined by Cinereplicas in its sole discretion.

## 13. GIFT WITH PURCHASE, FREE ITEMS AND SAMPLES

Promotional gifts, samples, and free items are offered while supplies last.

We reserve the right to substitute, modify, discontinue, or cancel promotional gifts at any time.

Promotional items:

- Have no cash value;
- Are not redeemable for cash;
- Cannot be exchanged;
- Cannot be purchased separately.

Failure to receive a promotional item shall not invalidate an order.

## 14. GIFT CARDS

Gift cards are redeemable only on cinereplicas.com.

Gift cards:

- Are not redeemable for cash except where required by law;
- Cannot be exchanged for cash value;
- Cannot be reloaded unless expressly stated.

Lost, stolen, damaged, unauthorized, or fraudulently obtained gift cards may be cancelled.

We reserve the right to refuse, suspend, or void gift cards suspected of fraud or misuse.

## 15. LOYALTY PROGRAM

### 15.1 General

The Cinereplicas Loyalty Program is a promotional program offered at our discretion.

Participation does not create any contractual entitlement to future benefits.

### 15.2 Nature of Points

Loyalty points:

- Have no cash value;
- Are not property;
- Are non-transferable;
- Are revocable promotional credits;
- Do not constitute personal property or vested rights.

### 15.3 Earning Points

Points may be awarded for qualifying purchases and activities designated by Cinereplicas.

We reserve the right to determine which activities qualify.

### 15.4 Redeeming Points

Points may only be redeemed according to rules published by Cinereplicas from time to time.

Points have no guaranteed redemption value.

### 15.5 Adjustments

We may deduct, reverse, cancel, suspend, or invalidate points resulting from:

- Returns;
- Refunds;
- Fraud;
- Abuse;
- System errors;
- Promotional errors.

### 15.6 Program Changes

We reserve the right to modify, suspend, terminate, or replace the loyalty program, in whole or in part, at any time without compensation.

## 16. PROMOTIONS, COUPONS AND DISCOUNTS

Promotions may be subject to separate rules.

Unless otherwise stated:

- Coupons may not be combined;
- Coupons have no cash value;
- Coupons are non-transferable;
- Coupons cannot be applied retroactively;
- Coupons may be cancelled at any time.

Promotional offers may be modified, suspended, or terminated without notice.

## 17. INTELLECTUAL PROPERTY

All content on the Site, including:

- Text;
- Graphics;
- Images;
- Logos;
- Videos;
- Product designs;
- Software;
- Source code;
- Layouts;

is owned by or licensed to Cinereplicas and protected by intellectual property laws.

No ownership rights are transferred through use of the Site.

Unauthorized copying, reproduction, scraping, distribution, republication, or commercial exploitation is prohibited.

## 18. LICENSED MERCHANDISE AND TRADEMARKS

Many products feature intellectual property owned by third-party licensors.

All trademarks, copyrights, characters, logos, names, and related rights remain the property of their respective owners.

Nothing contained on the Site grants any license or ownership right in such intellectual property.

Cinereplicas reserves all rights not expressly granted.

## 19. ACCEPTABLE USE

You agree not to:

- Violate any law;

- Interfere with Site operation;
- Circumvent security measures;
- Attempt unauthorized access;
- Scrape, copy, mine, or harvest data;
- Use bots without authorization;
- Reverse engineer Site functionality.

Violation of this Section may result in account termination and legal action.

## 20. DISCLAIMERS; WARRANTIES; LIMITATION OF LIABILITY

### 20.1 Site Disclaimer

The Site is provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Cinereplicas disclaims all warranties not expressly stated herein, including:

- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Accuracy;
- Availability;
- Uninterrupted operation.

### 20.2 No Reliance

Customer acknowledges that they have not relied upon any statement, promise, estimate, forecast, representation, marketing claim, or expectation not expressly contained in these Terms.

### 20.3 Limitation of Liability

To the fullest extent permitted by law, Cinereplicas shall not be liable for:

- Indirect damages;
- Consequential damages;
- Special damages;
- Punitive damages;
- Incidental damages;
- Loss of profits;
- Loss of revenue;
- Loss of data;
- Loss of goodwill.

### 20.4 Liability Cap

To the fullest extent permitted by law, Cinereplicas' total aggregate liability arising from any claim shall not exceed the amount actually paid by the customer for the specific product giving rise to the claim.

### 20.5 Assumption of Risk

Customers assume all risks associated with ordinary use, misuse, modification, improper storage, improper maintenance, or unauthorized alteration of products.

### 20.6 Limitation Period

To the fullest extent permitted by law, any claim arising from or relating to the Site, any order, any product, or these Terms must be brought within one (1) year after the claim arises, otherwise such claim shall be permanently barred.

## 21. DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE MOST DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT.

YOU WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

### 21.1 Federal Arbitration Act

This arbitration agreement shall be governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §1 et seq.

### 21.2 Mandatory Informal Resolution

Before initiating arbitration or litigation, the customer must provide written notice of the dispute to:

The notice must include:

- Customer name;
- Contact information;
- Order number(s);
- Detailed description of the dispute;
- Requested relief.

The parties agree to attempt good-faith resolution for sixty (60) days before commencing any proceeding.

Compliance with this informal dispute resolution process is a condition precedent to arbitration.

### 21.3 Agreement to Arbitrate

Except as expressly provided below, any dispute, claim, controversy, or cause of action arising out of or relating to:

- These Terms;
- The Site;
- Any product;
- Any order;
- Any transaction;
- Any marketing activity;

shall be resolved exclusively by final and binding individual arbitration.

### 21.4 Exceptions

Either party may:

- Bring qualifying claims in small claims court;
- Seek temporary injunctive relief regarding intellectual property rights;
- Seek enforcement of an arbitration award.

### 21.5 Arbitration Administrator

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect.

If AAA is unavailable, a comparable administrator shall be selected.

### 21.6 Arbitration Format

The customer may elect arbitration:

- By written submissions;
- By telephone;
- By videoconference;
- In person if required by applicable rules.

### 21.7 Arbitration Fees

Fees shall be allocated according to applicable AAA rules and governing law.

### 21.8 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW:

ALL CLAIMS MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY.

NO CLAIM MAY BE ASSERTED AS:

- A CLASS ACTION;
- A REPRESENTATIVE ACTION;
- A PRIVATE ATTORNEY GENERAL ACTION;
- A COLLECTIVE ACTION;
- A CONSOLIDATED ACTION.

THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CERTIFY A CLASS OR CONSOLIDATE CLAIMS.

### 21.9 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, BOTH PARTIES KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A JURY TRIAL.

### 21.10 Mass Arbitration Procedures

If twenty-five (25) or more substantially similar claims are filed against Cinereplicas by the same law firm or coordinated firms, the parties agree that such claims shall be administered in staged batches pursuant to applicable AAA mass arbitration procedures.

### 21.11 Opt-Out Right

Customers may opt out of arbitration by sending written notice to support@cinereplicas.com within thirty (30) days of first accepting these Terms.

Opting out affects only the arbitration provision and no other provision.

### 21.12 Survival

This Section survives termination of the account, completion of orders, and termination of these Terms.

## 22. GOVERNING LAW AND JURISDICTION

Except where preempted by federal law, these Terms shall be governed exclusively by the laws of the State of Delaware without regard to conflict-of-law principles.

Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

Customers consent to personal jurisdiction in such courts.

## 23. CALIFORNIA RESIDENTS

In accordance with California Civil Code Section 1789.3, California residents are entitled to the following consumer rights notice:

California residents also have privacy rights described in our Privacy Policy.

## 24. FORCE MAJEURE

Cinereplicas shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including:

- Acts of God;
- Natural disasters;
- Severe weather;
- Floods;
- Fires;
- Epidemics;
- Pandemics;
- Labor disputes;
- Supply chain disruptions;
- Carrier delays;
- Customs delays;
- Government actions;
- Sanctions;
- War;
- Terrorism;
- Civil unrest;
- Utility failures;
- Cyberattacks;
- Internet disruptions.

Performance shall be suspended for the duration of the force majeure event.

## 25. SANCTIONS AND EXPORT COMPLIANCE

Customers represent and warrant that they are not:

- Located in a country subject to comprehensive U.S. sanctions;
- Listed on any U.S. government restricted-party list;
- Purchasing products in violation of applicable export control laws.

Cinereplicas reserves the right to refuse, cancel, suspend, block, or terminate any transaction that may violate:

- U.S. sanctions laws;
- Export control laws;
- Trade compliance regulations.

No liability shall arise from such actions.

## 26. ELECTRONIC COMMUNICATIONS

By using the Site, customers consent to receive communications electronically, including:

- Order confirmations;
- Shipping notifications;
- Customer service communications;
- Legal notices;
- Account-related communications.

Electronic communications satisfy any legal requirement that communications be in writing.

Marketing communications remain subject to applicable consent requirements and opt-out rights.

## 27. CHARGEBACKS AND PAYMENT DISPUTES

Before initiating a chargeback, customers agree to contact Cinereplicas and provide a reasonable opportunity to resolve the issue.

Initiating a chargeback does not eliminate any valid payment obligation.

Cinereplicas reserves the right to:

- Contest improper chargebacks;
- Submit evidence to payment processors;
- Recover permitted costs and fees;
- Suspend customer accounts;
- Refuse future transactions.

Fraudulent or abusive chargebacks may result in legal action.

## 28. GENERAL PROVISIONS

### 28.1 Entire Agreement

These Terms, together with the Privacy Policy and any policies expressly incorporated herein, constitute the entire agreement between the parties.

### 28.2 Severability

If any provision is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

### 28.3 No Waiver

Failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

### 28.4 Assignment

Customers may not assign their rights or obligations under these Terms.

Cinereplicas may assign its rights and obligations at any time, including in connection with a merger, acquisition, financing, restructuring, or asset sale.

### 28.5 No Third-Party Beneficiaries

Except for licensors and affiliates where expressly applicable, these Terms create no third-party beneficiary rights.

### 28.6 Headings

Headings are provided solely for convenience and do not affect interpretation.

### 28.7 Language

The English-language version of these Terms shall control in the event of any inconsistency with any translated version.
